Terms of Service

Ordian Agents — AI Assistant Service

1. Introduction

These Terms of Service (“Terms”), together with our Privacy Policy and Acceptable Use Policy, form the complete agreement (“Agreement”) between Munadi AI Solutions FZCO, a company registered in IFZA Free Zone, located at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, UAE (License #62810) (“Company”, “We”, “Us”, “Our”) and you (“You”, “User”, “Subscriber”).

These Terms govern your use of the Ordian Agents AI assistant service located at ordian.ai (the “Service”).

2. Acceptance of Terms

By creating an account and subscribing to Ordian Agents, you agree to be bound by this Agreement. If you are creating an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree with these Terms, do not create an account or use the Service.

3. Service Description

Ordian Agents is an AI assistant service that acts on behalf of subscribers by:

  • Managing communications — Reading and responding to WhatsApp messages, emails, and other communications with your permission
  • Calendar management — Scheduling appointments, managing calendar events, and coordinating meetings
  • Email management — Reading, organizing, and responding to emails on your behalf
  • Contact management — Organizing and updating contact information
  • Task automation — Performing routine tasks and workflows you authorize

The AI agent acts within the permissions you grant and under your direction, but you remain responsible for all actions taken by the agent on your behalf.

4. Account and Subscription

4.1 Account Creation

To use Ordian Agents, you must create an account using a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Subscription Model

Ordian Agents is offered as a monthly subscription service for €150 per month billed via Stripe. The subscription automatically renews each month unless cancelled.

4.3 Payment Terms

  • Subscription fees are charged monthly in advance via Stripe
  • You must provide valid payment information to maintain your subscription
  • Failed payments may result in service suspension after a reasonable grace period
  • All fees are non-refundable except where required by applicable law

4.4 Price Changes

We may modify subscription pricing with 30 days' advance notice. Price changes will take effect at your next billing cycle. You may cancel your subscription before the new pricing takes effect.

5. Data Access and Permissions

5.1 Required Permissions

To provide the Service, your AI agent requires access to:

  • WhatsApp — Reading and sending messages via WhatsApp Business API
  • Email accounts — Reading and sending emails via Gmail, Outlook, or other providers
  • Calendar data — Reading and creating calendar events
  • Contact lists — Accessing and organizing contact information

5.2 Granting Permissions

You explicitly grant permission for your AI agent to access this data. You can revoke permissions at any time through your account settings, but this may limit the agent's effectiveness.

5.3 Account Credentials

You are responsible for providing accurate account credentials for third-party services. You must ensure you have the legal right to grant access to all accounts and data you connect to the Service.

6. Third-Party Integrations

The Service integrates with third-party platforms including:

  • WhatsApp Business API
  • Gmail and Google Workspace
  • Microsoft Outlook and Office 365
  • Various calendar providers
  • Other communication and productivity tools

Your use of these integrations is also subject to the terms and policies of the respective third-party providers. We are not responsible for any changes, limitations, or issues with third-party services.

7. Your Responsibilities

You agree to:

  • Use the Service in compliance with all applicable laws and regulations
  • Comply with our Acceptable Use Policy
  • Provide accurate account credentials and maintain their security
  • Not use the Service for illegal, harmful, or abusive purposes
  • Monitor and review actions taken by your AI agent
  • Accept responsibility for all actions taken by the agent on your behalf
  • Respect the rights and privacy of others in your communications

8. Agent Limitations and User Responsibility

8.1 The Agent is Not You

The AI agent is a tool that acts on your behalf but is not a replacement for human judgment. While the agent strives to represent you accurately, it may occasionally make mistakes, misinterpret context, or take actions you would not have taken.

8.2 Your Responsibility

You remain fully responsible for all actions taken by your AI agent, including:

  • Messages sent on your behalf
  • Commitments or agreements made by the agent
  • Calendar events scheduled or modified
  • Any legal, financial, or personal consequences

8.3 Monitoring Required

You should regularly review your agent's activities and adjust its permissions or instructions as needed. The Service provides logs and summaries of agent actions for this purpose.

9. Data Handling and Intellectual Property

9.1 Your Data

You retain ownership of all data you provide or that the agent accesses on your behalf. This includes messages, emails, calendar data, and contacts.

9.2 Data Processing

By using the Service, you grant us a limited license to process your data solely to provide the agent service. We do not train AI models on your personal data or sell your data to third parties.

9.3 Data Retention

We retain your data for as long as your account is active, plus 30 days after account deletion to ensure complete removal. See our Privacy Policy for complete details.

10. Service Availability

10.1 Best Effort Service

Ordian Agents is currently in beta. We provide the Service on a best-effort basis without guaranteeing specific uptime or performance levels.

10.2 Service Interruptions

We may experience downtime due to:

  • Planned maintenance
  • Third-party service disruptions
  • Infrastructure issues
  • Force majeure events

We will make reasonable efforts to minimize disruptions and provide advance notice when possible.

11. Cancellation and Refund Policy

11.1 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

11.2 Refunds

Subscription fees are generally non-refundable. However, we may provide refunds at our discretion for:

  • Extended service outages that significantly impact your use of the Service
  • Billing errors or duplicate charges
  • Other circumstances where a refund is required by applicable law

11.3 Data After Cancellation

After subscription cancellation, your data will be retained for 30 days to allow for reactivation, then permanently deleted.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind
  • We are not liable for actions taken by your AI agent, including mistakes, misinterpretations, or unintended consequences
  • Our total liability for any claims shall not exceed the subscription fees you paid in the 12 months preceding the claim
  • We are not liable for damages caused by third-party service outages, account lockouts, or changes to third-party APIs
  • In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages

13. Suspension and Termination

13.1 By Us

We may suspend or terminate your account immediately for:

  • Violation of these Terms or our Acceptable Use Policy
  • Failed payment after reasonable notice
  • Harmful or illegal use of the Service
  • If required by law or to protect our interests

13.2 By You

You may terminate your account at any time by cancelling your subscription.

13.3 Effect of Termination

Upon termination, your access to the Service ends immediately. Your data will be deleted according to our data retention policy. No refunds will be provided for early termination due to Terms violations.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates and the IFZA Free Zone regulations.

14.2 Dispute Resolution

Any disputes will be resolved through binding arbitration at the IFZA Arbitration Centre in Dubai, UAE. You waive any right to class action proceedings.

15. Modification of Terms

We may update these Terms with 30 days' advance notice via email or through the Service. Material changes that significantly affect your rights will include an option to cancel your subscription if you disagree with the changes.

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
